the downside of getting headers without the hole for the o2 sensor?

No closed loop mode (slightly worse gas mileage in 5th during cruising situations).

what would be the upside? the 2 oz weight saving of the sensor and wire? in the future if you ever decide to tune your car, you'll want an 02 sensor for wideband air/fuel monitoring.

Yep! And if you get one WITH the bung welded in, you can plug the hole if you don't need to use it right away. But it gives you options down the road.

Racing beat headers don't fit the stock cat.

Pacesetters do, but avoid those like the plauge. Nothing quite like dyno proven results . . . . . dyno proven lossess :P

A lot of peolpe just weld an extra lenth of pipe on the cat so that it will fit.

It's only a few inches off.

Fair enough, didn't think about the stock cat stipulation. But as a side note, if he's concerned about CA emissions I'm not sure the stock cats are his best choice. I don't see them working too well after 20 years.
