What is it worth?

My 7's engine died this summer and I have been too busy to do much with it but this spring I was planning on doing a rebuild. Then today I found a 85 GS that is in ok shape it has 96k on the speedo. I am running a VIN check also. The rats nest is gone it has an after market carb not sure what kind it has an edelbrach air filter. Has a RB header and a seal was replaced and the mechanic said it had a carbon fiber clutch. The current owner doesn't know much about the car. I drove it and it drives real strong there is no smoke from the exhaust.
There is a leak some where that drips on to the cat so that smokes pretty bad.
It use to be a auto but it was converted to a 5 speed.
There are a few dents and the lock was popped and the stereo and speakers were stolen.
Paint is OK there are some bad spots.

Well what should I offer.

2000 might not be unreasonble if the int is nice, and the low miles, paint can hurt value becasue of it's high cost.
But it's just a gs, no positrac, no electric, does it have a roof?
Will anything need replacing soon? Exhaust etc.

The muffler will need to be replaced soon, but that is about it. The interior is a ok.
She said that she might take around $600
