Question N/A to TII conversion opinions wanted, please reply...

hey, i have a quick question for everyone...here's my situation:
I already own an S4 TII, but the underbody is in less than favourable condition but the engine runs great (oddly enough, it just seems to, compared to how it ran when i got it). my car was obviously driven in the winter before and rust started to form on it...everything from the rear-axle to the end of the car is covered with rust before anyone flames for buying such a car...it's a long story, because i really didn't pick this car. I bought it off my brother, but being the type of guy to buy a car on impulse, he did..and it turned out the rear-end was already starting to rust out. I love my RX, but personally, I wouldn't at all mind swapping my working drivetrain into a nicer body RX.

and here's my proposals:
(EITHER)
I have a friend who also owns an S4 TII, unfortunately for him, he blew the rear rotor a year ago, and the shell has been sitting since, doing nothing but collecting dust. originally, he had planned to fix it, but since then his situation has changed greatly and he now has a child on the way and is considering parting with his beloved RX (or at least what's left of it). I've helped him work on his car in the past and noticed that there are absolutely NO RUST WHATSOEVER...made me so jealous because his is an 87 and mine is an 88. anyways, he'll probably end up selling it later this year because it's no longer practical for him, and he already owns a Maxima too...so I guess he doesn't really need the FC anymore.
(OR)
I could possibly go out and look for an S5 N/A chassis and consider swapping in my S4 engine, tranny and ECU. The reason why I want an S5 so badly is because (a)they came with the BLACK interior; (b)they simply look nicer than the S4; and (c)I no longer want an FC with the moonroof, and am I right when I say the roof came standard on all TIIs? If I chose this path, is there anything I should be aware of? anything problems that I might run into? Is it even feasible to attempt such a swap? Yes, I know it'd be easier to just buy my friends blown S4TII but I have an obsession with the colour black...so I want the black interior.

which way is the better way to go?
