The clutch would not work i think because the clutch on an FD is a "Pull" type clutch. For the flywheel, it depends on the brand.
If you FC is a non-turbo, I know it won't match.
If it is a turbo, I know with the RB aliminum flywheel, it bolts to a stock counterweight off of an automatic. This way, to switch the flywheel between engines, all you have to do is make sure you have the appropriate counterweight.
I even believe the counterweight from 89-95 turbos is the same, so it should fit fine

I have been offered a very expencive FD flywheel and clutch i dont know if it has any Counterweights with it. Could i use that Flywheel with a FC clutch?

The counterweight is built into the flywheel on manual trans cars. The flywheel must be compatible with the rotors and the front counterweight. These are all a matched system and vary from year to year. Make certain any conversion you do is compatible as far as this is concerned.

The aftermarket flywheel from an FD will fit fine on a 90 TII. The counterweights from 89-95 turbo cars are the same, so it will work fine.
If it doesn't have a counterweight, just go to a junk yard and pick one up. Its just a big hunk of steel, so wear doesn't matter. The only prob you may have is removing it from the old engine. A BIG impact wrench or the proper mazda tool is the way to go.
86-88 turbos use a different counterweight so if the swap was going onto one of those cars, you'd need an S4 Turbo auto counterweight. The wheel itself would work fine.
While scathcart says the clutch will work, all the parts --including the release bearing are different. I would stick to the TII clutch.
Also, the friction surfaces on the aluminum flywheels are reeplaceable. before you re-install the wheel in your car, make sure you check the runout. The replacement friction pieces are like 40 or 50 bucks.
